1. Overview

These Terms of Service ("Terms") govern your access to and use of XAgently ("the Service", "we", "us", "our"), an AI-powered content generation platform available at xagently.com. By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service. We reserve the right to refuse service to anyone at our discretion.

2. Service Description

XAgently is a web-based platform that uses multiple AI language models to generate social media content, with a focus on Twitter/X posts related to crypto, Web3, and technology topics. The Service provides:

• AI-powered tweet, thread, quote, reply, and article generation
• Voice profile analysis to match your writing style
• Research tools that aggregate publicly available Twitter data
• Content optimization features including viral score analysis and hook generation
• Competitor analysis and trend monitoring tools

The Service is provided on an "as is" basis. AI-generated content is produced by third-party language models and may require your review and editing before publication.

3. Accounts and Membership

To access most features, you must create an account using email/password or Google OAuth through Firebase Authentication. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials secure and confidential
• Notify us promptly if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account. We may suspend or terminate accounts that violate these Terms or engage in prohibited conduct.

4. Credit System and Plans

XAgently operates on a credit-based system with the following plan tiers:

Each content generation action and tool usage deducts a specific number of credits from your balance. Credits reset on a 30-day billing cycle and do not roll over to the next period. Unused credits expire at the end of each cycle.

Plan changes and credit adjustments are managed by administrators. We reserve the right to modify pricing, credit allocations, and plan structures with reasonable notice.

5. Content Generation and Responsibility

You are solely responsible for all content you publish using outputs from XAgently. Important points:

• Review before publishing - AI-generated content may contain inaccuracies, outdated information, or statements that do not reflect your views. Always review and edit outputs before posting.
• No guarantees of accuracy - We do not guarantee the factual accuracy, completeness, or suitability of AI-generated content for any purpose.
• Your responsibility - Once you publish content generated by the Service, it becomes your content and you bear full responsibility for it, including any legal consequences.
• No financial advice - Content generated about crypto, DeFi, or financial topics does not constitute investment advice. The Service is a content creation tool, not a financial advisory platform.

6. Prohibited Use

You agree not to use the Service to:

• Generate content that promotes violence, hate speech, harassment, or discrimination
• Create misleading or deceptive content intended to manipulate financial markets
• Impersonate other individuals, projects, or organizations
• Produce spam or mass-distribute unsolicited content
• Circumvent the credit system, exploit bugs, or manipulate usage limits
• Reverse-engineer, scrape, or extract the underlying AI prompts or system instructions
• Use automated bots or scripts to access the Service without authorization
• Violate any applicable laws, regulations, or third-party rights
• Share your account credentials with others or operate multiple accounts to bypass restrictions

Violation of these rules may result in immediate account suspension or termination without refund.

7. Intellectual Property

The intellectual property rights are distributed as follows:

• Platform IP - The XAgently platform, including its design, code, branding, logos, prompt engineering, and proprietary systems, is owned by us and protected by applicable intellectual property laws.
• Your content - You retain ownership of content you create using the Service. By using the platform, you do not transfer any rights to your published content to us.
• AI outputs - AI-generated content is produced by third-party language models. The legal status of AI-generated content varies by jurisdiction. We make no representation regarding copyright ownership of raw AI outputs.
• Feedback - If you provide feedback or suggestions about the Service, we may use them without obligation to you.

8. Third-Party Services

The Service integrates with and depends on several third-party platforms:

• AI providers - Anthropic (Claude), OpenAI (GPT-4o), xAI (Grok), Google (Gemini). Your content prompts are sent to these providers for processing. Each provider operates under its own terms and privacy policy.
• Twitter/X - The Service fetches publicly available tweet data for research and context. Your use of generated content on Twitter/X must comply with their terms of service.
• Firebase / Google Cloud - Authentication and data storage. Subject to Google's terms of service.
• Cloudflare - Backend proxy infrastructure. Subject to Cloudflare's terms.

We are not responsible for the availability, reliability, or policies of third-party services. Changes to third-party APIs or terms may affect the functionality of our Service.

9. Service Availability

We aim to keep XAgently available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled or unscheduled maintenance
• Third-party API outages or rate limits
• Infrastructure issues beyond our control
• Force majeure events

We will make reasonable efforts to notify users of planned downtime when possible. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
• We are not liable for any losses resulting from content you publish based on AI-generated outputs, including financial losses from acting on AI-generated information about crypto or financial markets.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the Republic of Turkey.

Before pursuing formal legal action, both parties agree to attempt to resolve disputes through good-faith negotiation. If informal resolution is not successful within 30 days, either party may pursue legal remedies through the competent courts in Istanbul, Turkey.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes that affect your rights, we will provide notice through the platform.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service.
